The starter set for a company on day zero. We incorporate the company, settle the terms between the founders, and hand over the core documents a startup needs before it hires, signs contracts or raises money.

What is included

• Formation and structure. Incorporation at the CAC, or a review of a company you have already registered, and Tax ID registration with the Nigeria Revenue Service (NRS).
• Founder relationship. A founders' agreement covering roles, reserved matters, vesting and leaver provisions, so that ownership reflects who stays and builds.
• Capitalisation. An opening cap table, share certificates, and a basic shareholders' agreement where one is appropriate.
• Intellectual property. Employment and contractor agreements together with standalone IP assignments, so the company owns what its people create.
• Product and data. Website and application terms of use, a privacy policy, and a data-protection compliance health-check under the NDPA 2023.
• Working templates. A mutual NDA and a collaboration or memorandum-of-understanding template you can reuse, with notes on when each one fits.

We agree the fee in writing before we start. Official costs such as CAC, regulator and registry fees, and any VAT or withholding tax, are billed separately and set by the relevant body.
