What is included

• Everyday contracts. The contracts the business runs on, including customer, vendor, partnership, service, NDA and memorandum-of-understanding terms.
• Governance and shareholders. Governance policies, board support, shareholder papers and cap-table upkeep.
• Product, website and data. Website and application terms, and the privacy and data-protection documents the NDPA 2023 requires.
• Team, equity and IP. Employment and consultant papers, IP assignments, an option scheme, and Nigerian trademark filing.
• Corporate and secretarial. Company-secretary support, board and shareholder meetings, minutes, registers, and annual returns to the CAC.
• Tax and statutory filings. Tax registration with the Nigeria Revenue Service (NRS), annual returns to the CAC, and the annual data-protection Compliance Audit Return (CAR) to the NDPC.
• Everyday advice. The first call for a legal question, standing opinions, and a seat in your management meetings.

We agree the fee in writing before we start. Official costs such as CAC, regulator and registry fees, and any VAT or withholding tax, are billed separately and set by the relevant body.
