Legal cover for a single round, from a diligence-ready data room to a signed close. We prepare the company, draft and negotiate the round, and see it through with the investor's counsel.

What is included

• Data room and readiness. We build the legal and compliance data room and run a pre-raise review, so that due diligence does not stall the round.
• Instrument and terms. A SAFE, a convertible note or priced equity, with a term-sheet review and a plain read of the terms that bind you.
• Cap table. A pro-forma cap table at the open and a fully diluted one at close, so that your dilution is clear at every step.
• Round documents. We draft and review everything the round needs, from the instrument to the shareholders' agreement.
• Close and filings. Conditions managed, a clean close with the investor's counsel, and the CAC and Certificate of Capital Importation filings where foreign investment comes in.
• Legal opinions. Prepared where the round or an investor calls for one.

We agree the fee in writing before we start. Official costs such as CAC, regulator and registry fees, and any VAT or withholding tax, are billed separately and set by the relevant body.
